Executive/ Senior Executive – Company Secretary Department

Job Summary SDB Bank is seeking a detail-oriented professional to join the Company Secretary Department and uphold the highest standards of corporate governance. This role is essential for ensuring the bank’s adherence to legal and regulatory frameworks, including the Companies Act and Central Bank of Sri Lanka guidelines. You will provide critical administrative and advisory support to the Company Secretary, managing the logistics of Board and Sub-Committee meetings. Responsibilities range from maintaining the share ledger and shareholder communications to overseeing digital secretarial systems and the safe custody of legal records. This position requires a candidate with strong legal literacy and organizational expertise to facilitate seamless board operations and regulatory compliance.


Key Responsibilities

  • Assist the Company Secretary in ensuring legal and regulatory compliance.

  • Uphold corporate governance standards and provide guidance on company law.

  • Coordinate Board and Sub-Committee meetings.

  • Prepare and circulate Board papers and minutes.

  • Manage shareholder communications and share ledger functions.

  • Oversee E-Secretary system operations and maintain backups.

  • Verify legal documents and maintain Company Seal records.

  • Assist with AGM arrangements and ensure timely Annual Report dispatch.

  • Liaise with regulators, branches, and service providers.

  • Support the BoardPAC system operations.

Candidate Requirements

  • Degree or Diploma in ICCSSL, Corporate Secretarial practices, or equivalent in Management.

  • Minimum of 4 years of prior experience in a Company Secretary Department.

  • Excellent knowledge of the Companies Act, CSE, and SEC regulations.

  • Strong knowledge of Central Bank of Sri Lanka regulations and guidelines.

  • High level of language proficiency and IT literacy.

  • Demonstrated ability to work as an effective team player.
